& Project-Scope Agreement
Clarifying FFH-owned content licensed to SCFA at no cost, and the work product built under contracted project scope.

§ 1Recitals & Background
WHEREAS FFH has been engaged by SCFA under two scopes of work in 2026 — (i) an App Enhancement program (60-day build, April 1 – May 30, 2026) and (ii) an Executive Dashboard Development program (100-day build, April 1 – June 30, 2026) — to enhance and extend the 360° SCD Hub platform;
WHEREAS FFH has separately developed, and independently owns, a set of premium educational and storytelling content libraries that it wishes to make available to SCFA at no cost for the Foundation's mission;
WHEREAS the parties wish to clearly distinguish between (a) FFH-Owned Licensed Content, which FFH owns and licenses to SCFA, and (b) Project-Scope Work Product, which FFH built for SCFA under the contracted scopes and delivers to SCFA under the open-source (MIT) terms of those engagements;
NOW THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.
§ 2Definitions
§ 3Two-Part Grant
3.1 — FFH-Owned Licensed Content. FFH grants SCFA a non-exclusive, royalty-free, no-cost license to host, present, and use the FFH-Owned Licensed Content (Section 4) within the 360° SCD Hub for the Foundation's charitable mission, for the duration described in Section 10. FFH retains all ownership; this content is not released under MIT or any open-source/FOSS terms.
3.2 — Project-Scope Work Product. The deliverables built under the App Enhancement and Dashboard scopes (Section 5) are delivered to SCFA under the MIT license terms agreed for those engagements. SCFA owns its instance, configuration, and member data.
§ 4FFH-Owned Licensed Content · NO COST · NOT MIT/FOSS
The following FFH-owned libraries are licensed to SCFA at no cost and remain FFH proprietary IP (expressly excluded from any open-source requirement governing the Project-Scope Work Product):

These six libraries are provided to SCFA at no charge. FFH retains ownership and editorial control; SCFA receives a perpetual-during-operation right to present them within the 360° SCD Hub.
§ 5Project-Scope Work Product · BUILT UNDER SCOPE · MIT TO SCFA
The following were built for SCFA under the contracted scopes and are delivered under the MIT license terms of those engagements:
App Enhancement — 60-Day Build (Apr 1 – May 30, 2026)
Executive Dashboard — 100-Day Build (Apr 1 – Jun 30, 2026)
§ 6No-Cost Licensing
The FFH-Owned Licensed Content in Section 4 is provided to SCFA at no cost as a contribution to the Foundation's mission. No license fee, royalty, or usage charge applies to that content during the Term. The Project-Scope Work Product in Section 5 was compensated under the respective project engagements and requires no further licensing payment.
§ 7Permitted Uses
- Host and present the FFH-Owned Licensed Content within the 360° SCD Hub for SCFA's charitable mission.
- Operate, configure, and extend the Project-Scope Work Product as SCFA's own platform under its MIT terms.
- Reference FFH as content provider / development partner in materials and to funders.
- Retain and own all SCFA member data captured through the platform.
§ 8Restrictions (FFH-Owned Licensed Content)
- Sub-license, resell, redistribute, or transfer the FFH-Owned Licensed Content to any third party.
- Re-license or publish the FFH-Owned Licensed Content under MIT or any open-source/FOSS license.
- Remove or obscure FFH attribution, copyright, or coach-persona credits from the Licensed Content.
- Use the Coach Carla, Coach Lucy, or Dr. Rob personas outside the licensed surfaces without written approval.
§ 9Intellectual Property & Ownership
FFH retains all right, title, and interest in the FFH-Owned Licensed Content (Section 4), the Coach Personas, the SickleSense Coin system, and FFH brand assets.
The Project-Scope Work Product (Section 5) is delivered to SCFA under the MIT license terms of the relevant engagements; SCFA owns its deployed instance, configuration, content it authors, and all member data.
For clarity, the FFH-Owned Licensed Content is expressly excluded from any open-source/MIT/FOSS requirement applicable to the Project-Scope Work Product.
§ 10Term, Compliance & Governing Law
Term. The no-cost content license in Section 4 continues for as long as SCFA operates the 360° SCD Hub, unless terminated for material uncured breach on thirty (30) days' written notice. The Project-Scope Work Product license is perpetual per its MIT terms.
Compliance. SCFA, as the platform operator and HIPAA-covered party, is responsible for HIPAA, FERPA/COPPA where applicable, and ADA/Section 508 compliance in its operation of the Hub. FFH provides the content and work product on an "AS IS" basis with no warranty of fitness beyond reasonable quality standards.
Governing Law. This Agreement is governed by the laws of the State of Arizona. Sections 8 (Restrictions) and 9 (IP) survive termination. This Agreement, with any executed Schedules, is the entire agreement on its subject matter; amendments must be in writing and signed by both parties.
